Article I: Name and Purpose
Name:
The name of the organization is Hope FC
Purpose:
Hope FC is a non-profit organization dedicated to bringing hope, joy, and resilience to children in war-torn and disadvantaged regions through the power of football (soccer). We aim to foster unity, build communities, and give children hope and the opportunity to dream.
Article II: Mission and Vision
Mission:
To empower, heal, and re-build communities in war-affected regions in the world, inspiring hope and resilience in children through football.
Vision:

Article III: Membership & Donations
Eligibility:
Membership in Hope FC is open to individuals who support the organization’s mission and wish to contribute to its efforts through volunteerism, donations, or advocacy.
Membership and Donations:
We offer a traditional donation structure typical of most non-profits; however, we also offer annual memberships to engage our supporters in a more meaningful way.
We also welcome one-time donations in multiples of $20, or custom amounts are appreciated as well.
Rights of Members:
Members have the right to participate in organizational activities, attend meetings, and provide input on strategic decisions through advisory channels. They do not hold voting rights unless elected to the board.
Article IV: Board of Directors
General Powers:
The affairs of Hope FC shall be managed by its Board of Directors. The Board is responsible for ensuring that the organization’s activities align with its mission and purpose.
Composition:
The Board shall consist of a minimum of four (4) and a maximum of seven (7) Directors. Directors shall include a President, Vice President, Secretary, and Treasurer. Additional board members may be appointed as needed.
Term of Office:
Directors shall serve terms of two (2) years and may be re-elected for additional terms. There shall be no limit on the number of terms a Director may serve.
All positions are on a voluntary basis, and Directors shall not be eligible for monetary compensation or any form of financial remuneration for their service on the Board.
Board Meetings:
The Board of Directors shall meet at least twice annually. Special meetings may be called by the President or any three Directors with reasonable notice.
Quorum:
A quorum for the transaction of business shall consist of a majority of the Board members. Decisions shall be made by a simple majority vote of those present, with the President’s vote counting as two (2) votes in the event of a tie or when additional weight is needed to break a deadlock.
Vacancies:
Any vacancy on the Board may be filled by a vote of the remaining Board members. A Director elected to fill a vacancy shall serve the remainder of the predecessor’s term.
Duties of Directors:
Article V: Committees
Formation:
The Board may establish committees as necessary to carry out the organization’s work, such as a Fundraising Committee, Communications Committee, or Operations Committee.
Committee Membership:
Committee members may include Directors, members of Hope FC, or external volunteers with relevant expertise.
Authority:
Committees shall operate within the scope established by the Board of Directors and report to the Board on their activities.
Article VI: Financial Management
Fiscal Year:
The fiscal year of the organization shall begin on November 1, 2024, and end on December 31, 2025, for the first fiscal period. Subsequent fiscal years shall run from January 1 to December 31.
Budget:
The Board of Directors shall approve an annual budget for the organization. The Treasurer is responsible for overseeing the budget’s implementation.
Funds:
All funds of the organization shall be deposited into appropriate accounts, and disbursements shall be made as authorized by the Board of Directors.
Financial Reports:
The Treasurer shall provide the Board with regular financial reports. An external audit may be conducted annually or at the request of the Board.
Article VII: Conflict of Interest
Disclosure:
Any Director or officer who has a financial, personal, or other interest in a matter under consideration by the Board must disclose such interest and recuse themselves from any related discussions or voting.
Procedure:
The Board shall establish procedures for handling conflicts of interest, including potential disqualification from certain decisions or activities.
